Requirements

To apply for a Seychelles Securities Dealer License, applicants must meet several criteria:

Capital Requirements
Maintain a minimum paid-up capital of $50,000, which must be held in a bank account in Seychelles during the application process.
Directors
The company must have at least two individual directors who demonstrate adequate experience and competence in the financial sector.
Shareholders
A minimum of two shareholders is required. These can be natural persons or legal entities.
Office Presence
Establish a physical office in Seychelles that complies with local regulations.
Compliance Officer
Appoint a qualified compliance officer to ensure adherence to regulatory requirements.
Securities Dealer Representative
Maintain at least one representative who holds an SDL from the FSA.
Auditor Appointment
An auditor must be appointed within 30 days of receiving the license to review the company’s accounts annually.
Annual Reporting
Submit audited financial statements to the FSA within four months after the end of each financial year.
Professional Indemnity Insurance
Obtain and maintain professional indemnity insurance coverage.
Regulatory Fees
Pay all necessary licensing and regulatory fees upon application and annually thereafter.
